1.1. This document (“Agreement” or “Terms and Conditions”) contains the terms and conditions agreed between “PartnersInGame Affiliate Program” (also referred to as “we”, “our”, “us”) and you (hereinafter referred to as “you”, “your” or “affiliate”) regarding your application to join our Affiliate Program and promote yoju.casino and our services.

1.2. To participate in our affiliate program, you have to accept our Terms and Conditions and submit a completed online application. PartnersinGame Affiliate program determines in its sole discretion whether or not to accept your application for membership in our affiliate program. Our decision is final and the appeal will not be granted. Once we have made a decision regarding your application, we will notify you by email whether or not you have been accepted as our Partner. Once your application is successful, you will be bound by these Terms and Conditions as set out in this Agreement. If your application is approved, PartnersinGame Affiliate program will send you an e-mail with additional information after accepting your application.

1.3. PartnersInGame Affiliate program introduces this Terms and Conditions as a constant agreement, which is not to be changed unless it's an absolute necessity. For such cases, PartnersInGame Affiliate program reserves the right to, at any time and at its sole discretion, with or without giving any prior notice to the Affiliate, amend, alter, delete or add any of the provisions of this Agreement. When possible, a notice of the amendments will be sent to the Affiliate's registered email address. The Affiliate's continuing participation in the Affiliate Program after any amendments or modifications have been made public will be deemed as the Affiliate's acceptance of the new terms and conditions. It shall be the sole responsibility of the Affiliate to keep updated with the latest version of this Agreement.

1.4. No changes to be applied retroactively. If you do not agree to the changes, you are required to terminate this Agreement in accordance with the terms within this Agreement. Details of any changes to the Terms and Conditions are to be published and available in an updated version on PartnersInGame Affiliate Program. If you continue to participate in our Affiliate program after changes to the Agreement have been posted, this will be constituted as an acceptance of such changes by you.

In this Agreement, there are certain terms with meaning, unless the context requires otherwise:

“Agreement” means herein Terms and Conditions

“ Affiliate” means you, natural or legal person who applies for participation in the Affiliate Program.

“Affiliate Program” means a partnership between us and an Affiliate in which an Affiliate will promote the PartnersInGame website and our services and create Links from the Affiliate's website(s) to the PartnersInGame website and thus receive commissions as defined in this Agreement.

“Confidential Information” means all information about us that is not generally known and that we disclose (in any way) to you.

“ Referred Clients / Players” means clients who do not have an account on the yoju.casino website and who have registered with yoju.casino through your affiliate tracking link.

”Gross Revenue”, which is calculated on a monthly basis, means monthly rates less the winnings from Referred Customers.

“Net Income”, which is calculated on a monthly basis, means monthly gross income, net of expenses, which includes, but is not limited to: taxes, betting fees, commissions/ fees from third parties for providing games and game software, etc., financial transaction fees, bonuses, loyalty rewards, rakeback, cashback and chargebacks.

“Intellectual Property Rights” means any and all patents, trademarks, service marks, designs, trade, commercial or domain names, goodwill associated with the foregoing, e-mail address names, copyrights, including rights to computer software (in both source and object code) and database rights (in each case, whether registered or not, and any registration applications and rights to apply for registration of any of the foregoing), rights to inventions and web formatting scripts (including HTML and XML scripts), know-how, trade secrets and other intellectual property rights that may exist now or in the future in any part of the world, including all return rights and rights to sue and recover for past infringements.

“First Depositing Player/FDP” means a new client/player who has made his/her first minimum deposit at Yoju casino.

“ Revenue Share” means the percentage that the affiliate earns from the Net Revenue.

“Your Website/Affiliate Website” means the website that you specify as a source of traffic in the affiliate sign-up form.

“Affiliate Links/the Links” means Internet hyperlinks used by the Affiliate to link from the Affiliate Website(s) or any other third-party website to the Yoju.casino website.

“Site” means the website Yoju.casino.

“Commission” means the fee in percentage of the revenue as specified hereto or, where applicable, a fixed amount, the Affiliate gets according to the terms and conditions stipulated in this Agreement.

3.1. The Links provided to you by PartnersInGame Affiliate program should be displayed and used by you in the manner agreed between you and us and you shall not change the form, location or operation of the Links without PartnersInGame prior written consent.

3.2. You shall ensure that you do not place any Links on pages of Your Website targeted on persons under the age of 18 years.

3.3. In the event that you wish to place the Links on websites other than Your Website, you must first obtain our written consent.

3.4. If we discover that you use any Link in no compliance with the terms of this Agreement, we shall be entitled to take such measures as to block Links used by you and to immediately terminate this Agreement without notice to you.

3.5. To ensure accurate tracking, reporting and Commission accrual, you are responsible for ensuring that the Links between your Affiliate Websites and the Site are properly formatted throughout the term of this Agreement.

4.1. Net Revenue shall be calculated in accordance with the following formula:

Net Revenue = Total bets — Total wins — Bonuses — balance corrections — Admin Fee

For the sake of clarity, it is expressly stated as follows:

The administration fee (Admin Fee) is a value that contains the license fee, game provider fees, transactional fees and jackpot fees.

4.2. Your standard monthly Revenue Share percentage to be calculated depending on how much FDP you deliver in a particular month, as follows:
0-10 FDPS 25%
11-25 30%
26-50 35%
50 + 40%

4.3. PartnersInGame Affiliate program reserves the right to reduce your Commission relating to a Site in the event that you fail to generate any leads on such Site or through an account associated with such Site, for any three (3) consecutive calendar months.

4.4. PartnersInGame Affiliate program reserves the right, at its sole discretion, to immediately cease any or all marketing efforts in certain jurisdictions and you shall immediately cease marketing to persons in such jurisdictions. The Company will not be liable to pay you any Commission which would have otherwise been payable to you under this Agreement in respect of such jurisdictions.

4.5. PartnersInGame Affiliate program reserves the right, at its sole discretion, to immediately cease paying you Commission with respect to Players generated by you from a specific jurisdiction and you shall immediately cease marketing to persons in such jurisdiction.

5.1. CPA commission is to be discussed with each Affiliate separately, depending on the geography of traffic's origin and its performance.

5.2. The standard minimum baseline is 20 Eur for a first deposit (the Baseline) and it’s subject to personal agreement with us which means the player must make a minimum first deposit of the exact amount.

5.3. All new players coming through the Affiliate Program according to the CPA plan and not taking active action on the project are put on hold. The holding period can take up to 30 days from the date when CPA conditions were performed at the discretion of our security department.

5.4 Players have 31 days since the registration date to pass the Baseline to trigger CPA commission.

5.5. The Affiliate program is entitled not to pay CPA commission for the following players:

5.5.1. Players who tried to deceive the yoju casino or showed fraudulent actions in regard to the yoju casino (including fraudsters, carders and other types of violators).

5.5.2. Players who made a single deposit and did not take any action within the project until the end of the hold.

5.6. Activity according to the CPA plan without payment of the commission can be suspended under the following conditions:

5.6.1. Affiliate brings to the project traffic from countries that are on the restricted list (please discuss the geography of traffic with your affiliate manager).

5.6.2. Affiliate was found to participate in fraudulent activities, such as fraud, spam, depositing by Affiliate himself with the IP substitution or the use of anonymizers (for example: VPN, Proxy, Freegate, Hola, TOR browser, etc.)

5.6.3. Self-excluded players.

5.7. If the limits for the traffic delivery were agreed with Affiliate (read — the number of the players brought) and Affiliate delivered more players, the PartnersInGame Affiliate program has the right to postpone payouts for such players to the next payment period or transfer players to Revenue Share plan. The Affiliate program must notify Affiliate when such a case occurs.

5.8. Affiliate can be transferred to the general Revenue Share plan (see clause 4.2.), in case of poor traffic quality. The notification of such action to be received by Affiliate in writing form. Notification in writing form is understood as a notification sent by the type of communication that Affiliate uses to communicate with the manager. It can be transmitted by a messenger program or email. If there is none, Affiliate will be notified by email he or she signed up at Affiliate program with.

5.9. Strictly forbidden:

• -Target audiences under 21 years of age;
• -100% targeting of the advertiser’s non-targeted GEOs - (no agreement);
• - 100% targeting of the non-paying audience, by categories of interest: earnings, work at home, fast money, and similar;
• -Specify in the creatives the amount of the minimum deposit, use phrases that motivate people to make minimum deposits;
• -Motivated traffic;
• -Mislead (promises of something that doesn’t exist);
  We do NOT pay for:
  • -Traffic falling under one or more of the restrictions in the list above;
  • -Traffic with 0 activity - complete absence of bets and/or re-deposits;
  • -Traffic that was sent over the agreed amount (СAP);
  • -Not-the-test traffic that does not meet offer’s KPI;
  • -Multi-account players, fraud and test conversions; self-excluded or deactivated players.
  • -15 FTDs should be engaged during the test campaign.
    We pay for traffic, which brought at least the first 10 deposits. If the deposit’s number is less, then traffic is put on hold with no payments.
    
    5.10. Hold and limits:
    • -The on-hold period for new partners is 30 days;
    • -The on-hold period for checked partners may be reduced to 3-7 days after the test;
    • -The minimum test limit of conversions (necessary for adequate analysis) - 15 deposits (Test campaign results are always better if it takes up to 3-7 days).
      
      5.11. CPA/Hybrid models usually run with wagering requirements set at our own discretion from the agreed CPA rate or CPA part in Hybrid deal.

6.1. Every Player that you send gets a cookie that is valid for 30 days, last referrer receives credit.

7.1. You may not in any way offer added rewards of any kind to your Referred Customers without the prior written consent of PartnersinGame Affiliate Program . If PartnersinGame deems you to be in breach of this condition, PartnersinGame Affiliate Program may terminate this Agreement and seize to pay you any further Revenue Share from your Referred Customers.

7.2. You are forbidden to in any way modify, redirect, suppress, or substitute the operation of any button, link, or other interactive feature of the PartnersinGame site.

7.3. You are forbidden to attempt to artificially increase money payable to you by PartnersinGame Affiliate Program.

7.4. You shall at all times comply with the Data Protection Act 1998 and the Privacy and Electronic Communications (EC Directive) Regulations 2003, and any other related or similar legislation.

8.1. PartnersinGame Affiliate Program shall supply you with the Links for inclusion on Your Website and may update such Links from time to time.

8.2. PartnersInGame Affiliate Program shall use its best endeavors to ensure that whenever a Referred Customer signs-up with yoju.casino through your affiliate Link with your tracking code attached the relevant customer is identified as originating from Your Website. However, PartnersInGame Affiliate Program shall not be liable to you in any way if PartnersInGame is unable to identify a Customer as originating from Your Website.

9.1. You will receive affiliate payments directly to your PartnersInGame affiliate account.

9.2. As an Affiliate, you can choose to receive payment via Skrill, Neteller, Banking account.

9.3. The Commission is calculated at the end of each month and payments shall be made by the 20th of the following calendar month, provided that the amount due exceeds €100 or a higher amount chosen by the Affiliate in his/her settings of the Affiliate account (the “Minimum Threshold”). If the balance due is less than the Minimum Threshold, it shall be accumulated and carried over to the following month and shall be payable when the total Commissions collectively exceed the Minimum Threshold.

9.4. If the Affiliate's Revenue Share for a particular calendar month is negative, such negative amounts will be carried forward to the subsequent month(s) unless no negative carryover commission has been discussed with the Affiliate.

9.5. The Affiliate shall be wholly responsible and shall assume all risks, costs and expenses and shall pay any and all taxes, levies, fees, charges and any other dues payable or due in any jurisdiction in accordance with any and all applicable laws and regulations (if any) to any tax authority, department or other competent entity as a result of the Commission and compensation generated and/or the provision of the Affiliate services under this Agreement. PartnersInGame Affiliate Program shall under no circumstances whatsoever be held liable for any such amounts unpaid but found to be due by the Affiliate and the Affiliate shall fully indemnify PartnersInGame Affiliate Program for any and all such amounts in the event that PartnersInGame has to disburse such amount.

9.6. PartnersInGame Affiliate Program reserves the right to withhold / freeze the payment of the partner's commission in case of a lack of traffic more than 3 month in row. In this case, the commission will accumulate on the partner's balance, and will be paied as soon as partner will generate at least 5 FTD in reporting month.

10.1. PartnersInGame Affiliate Program grants you a non-exclusive and worldwide license to display the PartnersInGame Affiliate Program (and yoju.casino) brand features and related content (the “ PartnersInGame Affiliate Program Content”) during the Term (in accordance with paragraph 15) solely for the purposes of the display of the Links by you on Your Website as set out in this Agreement and in accordance with PartnersInGame Affiliate Program guidelines as may be provided to you from time to time. All intellectual property rights and any goodwill arising in the Links and in all betting products, associated systems and software relating to the services provided by PartnersInGame Affiliate Program to its customers from time to time shall remain the property of PartnersInGame Affiliate Program. You are not permitted to alter or modify in any way the PartnersInGame Affiliate Program Content without the express prior written consent of PartnersInGame Affiliate Program.

10.2. You agree that Your Website shall not resemble in any way the look and/or feel of the Yoju casino or PartnersInGame Affiliate Program Site, nor will you create the impression that Your Website is the Yoju casino and PartnersInGame Affiliate Program Site (or any part thereof).

11.1. Each party to this Agreement represents and warrants to the other that it has, and will retain throughout the Term all right, title and authority to enter into this Agreement, to grant to the other party the rights and licenses granted in this Agreement and to perform all of its obligations under this Agreement.

11.2. You warrant that you have obtained and will maintain in force all necessary registrations, authorizations, consents and licenses to enable you to fulfill your obligations under this Agreement.

12.1. We make no representation that the operation of the PartnersInGame Affiliate Program Site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

13. You (the “Indemnifying Party”) shall indemnify on demand and hold harmless PartnersInGame Affiliate Program and each of PartnersInGame Affiliate Program associates, officers, directors, employees, agents, shareholders and partners (the “Indemnified Party”) from and against any and all losses, demands, claims, damages, costs, expenses (including without limitation consequential losses and loss of profit, reasonable legal costs and expenses and VAT thereon if applicable) and liabilities suffered or incurred, directly or indirectly, by the Indemnified Party in consequence of any breach, non-performance or non-observance by the Indemnifying Party of any of the obligations or warranties on the part of the Indemnifying Party contained in this Agreement.

14.1. Nothing in this clause 14.1 shall limit AFFILIATE PR NAME be liable to the Affiliate or anyone else for any inaccuracy, error or omission in, or loss, injury or damage caused in whole or in part by failures, delays or interruptions of, the yoju.casino website.

14.2. PartnersInGame Affiliate Program shall not be liable, in contract, tort (including without limitation negligence) or in any other way for: loss of revenues, profits, contracts, business or anticipated savings; or any loss of goodwill or reputation; or any indirect or consequential losses in any case, whether or not such losses were within the contemplation of the parties at the date of this Agreement, or any other matter under this Agreement.

14.3. The liability of PartnersInGame Affiliate Program shall not, in any event, exceed the sum of the total monies paid by PartnersInGame Affiliate Program to you over the 6-month period preceding the date on which such liability accrued.

15.1. This Agreement shall start on the date that we notify you that your application has been successful in accordance with clause 1. This Agreement shall continue thereafter unless and until terminated by either party upon 30 days written notice.

15.2. If you are in material breach of your obligations within this agreement, artnersInGame Affiliate Program may bring the Term to an end with immediate effect; and cease to pay you any further Revenue Share on you Referred Customers, by written notice to you.

16.1. This Agreement constitutes the entire Agreement and understanding of the parties and supersedes any previous agreement between the parties relating to the subject matter of this Agreement. Nothing in this clause shall operate to limit or exclude any liability for fraud.

16.2. If any provision of this Agreement shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions of this Agreement which shall remain in full force and effect.

16.3. Any notice given or made under this Agreement to PartnersInGame Affiliate Program shall be by email to the relevant email marketing@partnersingame.com . PartnersInGame Affiliate Program shall send you any notices given or made under this Agreement to the email address supplied on your application form or such other email address as notified by you to PartnersInGame Affiliate Program.

16.4. Nothing in this Agreement is intended to create a partnership between the parties, or to authorize either party to act as agent for the other, and neither party shall have authority to act in the name or on behalf of or otherwise to bind the other in any way.

16.5. Neither party shall make any announcement relating to this Agreement nor its subject matter without the prior written approval of the other party except as required by law or by any legal or regulatory authority.

17.1. Except for the English version, other languages have been introduced for the Affiliates' convenience only. Should there be an ambiguity between the English text of the Terms and Conditions and its other language counterpart, the English version must be given priority oven any other one.
